DRAFT. This document was assembled from what the Ministry Angel codebase actually does. It is a starting point for a qualified lawyer, not legal advice, and it is not in force until [Legal entity — to be confirmed] says it is. Every marked item below is a decision only you or your counsel can make.
1. Who we are and what this is
Ministry Angel ("Ministry Angel", "we", "us") is a platform operated by [Legal entity — to be confirmed], [Registered address — to be confirmed]. It connects Seventh-day Adventist ministries with people who want to support them — through campaigns, events, volunteering, prayer, and giving.
These Terms of Service ("Terms") are a binding agreement between you and [Legal entity — to be confirmed] covering the Ministry Angel mobile apps, ministryangel.org, and our APIs (together, the "Service").
Ministry Angel is not a charity, a bank, a broker, an escrow agent, or a payment processor. We are a directory and a set of tools. Read section 6 carefully — how money moves on this platform is probably not what you assume.
2. Accepting these Terms
You accept these Terms by checking the acceptance box during sign-up. We record the date and the version you accepted. If you do not accept them, do not use the Service.
If you accept on behalf of a ministry, church, or organisation, you confirm you are authorised to bind it, and "you" means both you and that organisation.
3. Who may use the Service
- You must be at least 13 years old to hold an account.
- If you are under 18, you may use the Service only with the consent and supervision of a parent or legal guardian, who accepts these Terms with you.
- You must be at least 18 to create a campaign, receive donations, place advertising, or redeem Crowns.
- You may not use the Service if we have previously suspended or removed your account, or if the law where you live prohibits it.
For counsel: confirm the age floor against COPPA (US), the UK Age Appropriate Design Code, and GDPR Article 8, which sets a digital-consent age between 13 and 16 depending on the member state. The app does not currently collect a date of birth; if a hard age gate is required, that is a product change, not a drafting one.
4. Your account
You are responsible for everything that happens under your account, and for keeping your sign-in credentials secure. Authentication is handled by our identity provider (Clerk); their handling of your credentials is covered by our Privacy Policy.
Roles. Accounts hold one of several roles — Giver, Ministry, Advertiser, or Administrator. Some features are limited by role, and some by verification level: unverified, document-verified, or track-record verified. Verification is described in section 7.
Accuracy. Ministries and campaign owners must give true information about who they are, what they are raising for, and how funds will be used. Misrepresenting any of this is a material breach of these Terms.
5. Your content
You keep ownership of everything you post — campaigns, updates, photos, comments, community posts, testimonies, messages, and prayer requests ("Your Content").
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and distribute Your Content solely to operate and promote the Service. This licence ends when you delete the content or your account, except for copies retained as described in the Privacy Policy and for content others have already shared.
You promise that you own Your Content or have the rights to post it, and that it does not infringe anyone else's rights.
6. Money
This is the most important section. There are four different money flows on Ministry Angel and they work differently.
6.1 Donations to campaigns — we never touch them
When you give to a campaign, the payment does not go through Ministry Angel. We show you the receiving ministry's own payment link, you pay them directly through whatever processor they use, and you come back and record the transaction reference. The ministry then confirms receipt.
Consequences you should understand:
- 100% of your gift goes to the receiving ministry. We take no cut, no fee, and no commission.
- We never hold, transmit, or have custody of your money.
- We do not issue tax receipts and we are not the recipient of your gift. If you need a receipt, the ministry must give it to you.
- We cannot refund a donation, because we never received it. Refunds are between you and the ministry.
- A donation record in the app is a record of what you told us, confirmed by the ministry. It is not proof of payment and not a financial instrument.
We are not responsible for how a ministry uses what it receives. Give with the same care you would use giving offline.
6.2 Contributions to Ministry Angel ("Support Us")
Where offered, you may contribute to the operation of the platform itself. These payments are processed by Stripe and are received by [Legal entity — to be confirmed].
A contribution supports Ministry Angel. It is not a donation to any ministry and does not appear in any campaign total. It buys no goods, services, features, or in-app benefits beyond a supporter badge. Contributions are [Refund policy — to be confirmed].
6.3 Advertising
Organisations may arrange advertising placements in the Service. Advertising is a commercial service that [Legal entity — to be confirmed] provides under these Terms and the details agreed with each advertiser.
- Ads are reviewed before they run. We may reject or remove any ad at any time.
- Trial placements, where offered, end when the trial period ends unless the advertiser arranges to continue.
- Refunds for advertising are [Refund policy — to be confirmed].
- Advertisers are solely responsible for their creative and its claims, and must comply with section 8.
6.4 Crowns
Crowns are points earned through activity in the app.
- Crowns are not money. They have no cash value, cannot be bought, sold, exchanged, transferred, or redeemed for cash, and are not a stored-value instrument, gift card, or virtual currency.
- Crowns may be redeemed only for the rewards offered in the app — currently discount codes for event tickets and advertising placements — subject to availability.
- We may change how Crowns are earned or what they can be redeemed for, and we may expire unused Crowns, at any time.
- Crowns are forfeited when an account is closed, by you or by us.
- Crowns earned through fraud, abuse, or automation will be removed.
7. Campaigns, verification, and outcomes
Campaigns move through review before they go live and may be suspended at any time. We may ask a ministry for verification documents — government identification and a letter of authority from the organisation it claims to represent — and we may ask for a report on how funds were used after a campaign closes.
Verification is not an endorsement. A verified badge means we checked specific documents at a point in time. It is not a guarantee of honesty, solvency, charitable status, or that funds will be used as described. We do not audit ministries.
8. Acceptable use
You may not post, fund, or promote:
- Content that contradicts the platform's statement of faith
- Political campaign financing (per applicable non-profit restrictions)
- Hate speech, harassment, or discriminatory content
- Illegal activity, illegal goods, weapons, or controlled substances
- Pornography or adult content
- Gambling-related fundraising
- Content that sexualises or endangers minors — this includes any depiction of child sexual abuse, which we report to the authorities
- Impersonation of another person, ministry, or organisation
- Fraudulent, deceptive, or misleading fundraising, including campaigns for needs that do not exist
- Spam, bulk unsolicited messaging, or pyramid and referral schemes
- Malware, scraping, automated access, or attempts to breach or overload the Service
9. Objectionable content, reporting, and enforcement
The Service carries content and messages from other users. We do not pre-screen most of it.
If you see something that breaks section 8, report it. Every campaign, post, comment, and profile has a report control, and you can block any user, which stops their messages and hides their content from you.
Our commitment: we review reports of objectionable content and act on them within 24 hours of receiving the report. Acting may mean removing the content, restricting or suspending the account, or ejecting the user permanently. Users may also be suspended by an administrator, with a reason shown to them.
We may remove content or suspend accounts without notice where we believe someone is at risk, where the law requires it, or where content is clearly abusive.
10. Messaging and prayer
Direct messages and prayer partner matching connect you to other people. Be careful: treat anyone who asks you for money, personal financial details, or to move a conversation off-platform as a risk, and report them. Prayer requests you submit may be shared with a matched prayer partner.
11. Closing your account
You may delete your account at any time from Settings. Deleting your account removes your profile and most of your activity, and purges the private documents we hold for you.
Some records survive deletion. Donation records and moderation records are retained — donation records because they are the other party's financial history as well as yours, moderation records because they are an audit trail. Where an automated deletion cannot complete for this reason, the app will tell you and our support team will finish it. The Privacy Policy explains exactly what is kept and for how long.
We may suspend or terminate your account if you breach these Terms, if we are required to, or if we discontinue the Service.
12. Third-party services
The Service relies on third parties, including Clerk (authentication), Stripe (payments), Resend (email), Cloudflare (file storage), and the app stores and push services operated by Apple and Google. It also links out to ministries' own payment pages and websites. We do not control those services or sites and are not responsible for them.
13. Our intellectual property
The Ministry Angel name, logo, and the software, design, and content we provide belong to [Legal entity — to be confirmed]. These Terms give you a personal, revocable, non-transferable licence to use the Service. They do not give you any rights in our brand.
14. The Service is provided "as is"
To the fullest extent the law allows, the Service is provided as is and as available, without warranties of any kind. We do not warrant that the Service will be uninterrupted or error-free, that any campaign is legitimate, that any ministry will use funds as described, or that any information on the platform is accurate.
Nothing here excludes liability that cannot legally be excluded — including, for consumers in some jurisdictions, statutory rights that override this section.
15. Limitation of liability
To the fullest extent the law allows, [Legal entity — to be confirmed] will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.
In particular, we are not liable for any money you give to a ministry, since we never receive it and cannot recover it.
Our total liability for any claim relating to the Service is limited to [Liability cap — to be confirmed].
16. Indemnity
You agree to indemnify [Legal entity — to be confirmed] against claims, damages, and reasonable legal costs arising from Your Content, your use of the Service, or your breach of these Terms.
17. Governing law and disputes
These Terms are governed by the laws of [Governing law — to be confirmed], and disputes will be resolved in the courts of [Venue — to be confirmed].
For counsel: decide whether to include arbitration and a class-action waiver. If you do, note that many jurisdictions require specific formatting and an opt-out, and that consumer-protection regimes in the EU, UK, and several US states limit enforceability.
18. Changes to these Terms
We may update these Terms. When we do, we will change the version above and notify you in the app. Material changes will be notified before they take effect. Continuing to use the Service after that means you accept the new version. We record which version you accepted.
